Paweł specializes in real estate and corporate law, with a particular focus on real estate transactions. He provides legal advice to Polish and foreign businesses, operating primarily in the real estate market. He is a skilled negotiator and strategist. He creates transaction structures taking into consideration business risks and clients’ expectations. Paweł has been engaged in numerous transactions involving shopping malls, logistic centres/warehouses, office buildings, hotels and industrial facilities (specific projects provided below). He supports clients in negotiations at every transaction stage and advises on corporate governance matters. His legal expertise covers inter alia corporate matters, antitrust, assistance in structuring transactions and advising on shareholder’s conflicts. Paweł has great analytical skills and an ability to translate business goals into the transaction structure and documents. He is viewed as highly adaptable transactional lawyer and project manager with strong expertise in big-ticket M&A projects. Paweł works closely with our Corporate and M&A, Banking and Finance, and Cross-Border teams to advise on comprehensive real estate projects. During the past year, he has successfully advised such clients as Oxenwood Real Estate, Johnson Matthey PLC, Cola Cola HBC Polska, and Griffin Real Estate in multimillion transactions, many of them were multijurisdictional.

Oxenwood Real Estate: advising on an acquisition of a logistics warehouse in Warsaw fully leased by DHL. Griffin Real Estate: advising on the sale transaction of Piekna 2.0 office building in Warsaw to Generali Real Estate / ca. EUR 60 million. Echo Polska Properties: advising on the acquisition of King Cross Marcelin shopping mall in Poznan from the King Cross Group (EUR 100 million), and the final sale agreement of the second stage of the Symetris Business Park office complex in Lodz (EUR 19 million). Inter Cars S.A: advising on the sale transaction of a warehouse / logistic centre in Warsaw.

Johnson Matthey PLC: advising on two major greenfield investments in Poland worth in total several billion EUR. Beneteau Group: advising on the acquisition of Delphia Yachts, including the acquisition of respective real estate properties/production sites, and on further development. Gaz-System S.A.: advising on a real estate transaction comprising the acquisition of over 70 real properties (brown-fields and green-fields) belonging to the PKN Orlen affiliated entities. Cola Cola HBC Polska: negotiations and execution of a lease agreement for office and warehouse space in the Business Garden office complex in Warsaw. Reckit Benckiser: advising on numerous deals, including renegotiating privatization agreements. 7R SA: advising on the lease agreement of a warehouse space located in Lodz. Universal Fibers Inc.: advising on the lease of a production building from Stilon S.A., and on the legal aspects of construction process regarding restoration of the building.

The total value of transactions advised by K&P amounts to approximately EUR 4 billion.

Track record of high profile instructions over the past year: Most recently, K&P advised Oxenwood Real Estate (UK) on the acquisition of a DHL logistics centre near Warsaw, as its debut Polish investment. The transaction was carried out by a joint venture of Panattoni Europe and Bluehouse Capital by selling the entire shareholding in the company owning the property (transaction value: EUR 13.5 million). We also advised Johnson Matthey PLC, FTSE 100 British company, in two major greenfield investments in Poland worth in total several billion EUR, and involved the work of over 30 lawyers; as well as Groupe Beneteau, the largest global sailing and power boat manufacturers, on the acquisition of Delphia Yachts. Accordingly, given that we have advised on many high-profile, and significant multi-jurisdictional transactions in 2018 and 2019, we are confident that we have expanded our market position and that our real estate operation is currently one of the most expert and experienced practices in Poland.
