Maciej Zalewski and Jakub Kutzmann

Partner Maciej Zalewski and local partner Jakub Kutzmann co-head the Real Estate practice of White & Case in Warsaw. Maciej is a legal advisor with nearly 25 years of professional experience and focuses his practice on real estate, corporate and commercial law, with an emphasis on M&A, private equity, project financing and procurement. Jakub is a real estate specialist who obtained local and cross-border professional experience while working on some of the biggest and most complex CEE deals.

Key clients of the practice are Generali Real Estate, Echo Investment, GLP Europe, Ghelamco, GS Engineering & Construction, Spravia (formerly, Budimex Nieruchomości), LaSalle Asset Management, Skanska, REICO, CTP Invest, FORUM Euro Nieruchomości FIZAN, Aurelius Group, Greenman Partners and many others.

Advised Catella, a Swedish public company, on the establishment of its Polish operations through the acquisition of a 65% stake in Warsaw Property Partners. Advised the PPF Group, EC Investments and Rockaway Capital on the €881 million sale of the e-commerce assets of the Mall Group and the logistics assets of WE|DO (in Czech Republic, Hungary, Slovenia, Croatia, Poland) to Allegro. Advised GLP on leasing a facility in the Łódź East logistics park to Castorama. Advised Global Compute Infrastructure on the acquisition of ATM, one of the largest data center operators and communications infrastructure businesses in CEE. Advised a fund managed by the REICO investment company on the acquisition of BWI Group’s R&D centre in Kraków. Advised the management of Polnord on the sale of a majority package of its shares (public M&A). Advised Globe Trade Centre on an investment in its shares by a potential investor by way of a tender offer for sale of 100% of the shares in the company (public M&A).

Advised the CTP Group on the acquisition of a real estate portfolio from 7R with potential to develop 1.2 million sqm of GLA in logistics and industrial real estate. The portfolio consists of projects in Silesia and central and northern Poland that are in the development phase, such as in Warsaw and Katowice, as well as other sites across Poland that are still in the pre-development phase. Advised GS Engineering & Construction Poland sp. z o.o. in connection with a joint venture development project of a warehouse property in Lower Silesia. Advised Octopus Renewables on the acquisitions of (i) two onshore wind farms being constructed in Poland with a combined capacity of 58.8 MW from the PNE Group, a German developer of wind projects in Europe and (ii) a Polish wind farms portfolio of rated power of approx. 45 MW from OX2, a developer and seller of wind and solar farms.
